1. Agreement to Terms
By accessing or using DwellOps ("the Platform"), operated by DwellOps ("we," "us," "our"), you agree to be bound by these Terms of Service. If you are using the Platform on behalf of a business or organization, you represent that you have authority to bind that entity to these terms.
If you do not agree to these terms, do not use the Platform.
2. Description of Service
DwellOps is an AI-assisted property operations platform that provides:
- Maintenance coordination — work order creation, vendor dispatch, scheduling, and completion tracking.
- Communication management — automated and semi-automated messaging between property managers, tenants, and vendors via email and SMS.
- Financial tracking — rent ledger, payment recording, invoice management, and recurring charge automation.
- AI-assisted decision support — intelligent routing, classification, recommendations, and operational assistance, always subject to human oversight.
3. User Accounts and Roles
3.1 Property Managers
Property managers ("PMs") are the primary account holders. PMs are responsible for:
- Accuracy of property, tenant, and vendor data entered into the Platform.
- Reviewing and approving AI-recommended actions before execution.
- Ensuring they have appropriate authority and consent to manage the properties and contacts listed.
- Maintaining the confidentiality of their account credentials and portal tokens.
3.2 Tenants
Tenants access DwellOps through secure portal links and email communications. Tenants may submit maintenance requests, confirm scheduling, and view work order status through these channels. Tenant access does not require a traditional login account.
3.3 Vendors
Vendors interact with DwellOps through SMS, email, and secure portal links to accept work orders, provide scheduling availability, submit completion photos, and upload invoices. Vendor access does not require a traditional login account.
4. Acceptable Use
You agree not to:
- Use the Platform for any purpose other than legitimate property management operations.
- Submit false, misleading, or fraudulent information.
- Attempt to access accounts, data, or systems that do not belong to you.
- Interfere with or disrupt the Platform's infrastructure, security features, or other users' access.
- Use the Platform to send unsolicited messages or communications unrelated to property operations.
- Reverse engineer, decompile, or attempt to extract the source code of the Platform.
- Share portal tokens, completion links, or confirmation links with unauthorized parties.
5. AI-Assisted Operations
5.1 Human-in-the-Loop
DwellOps uses AI to assist with property operations. All significant actions — including vendor dispatch, financial approvals, and escalations — require explicit human approval before execution. The Platform is designed as a decision-support tool, not an autonomous agent.
5.2 Accuracy and Limitations
AI classifications and recommendations are provided as assistance and may not always be accurate. Property managers are responsible for reviewing AI-generated recommendations and making final decisions. DwellOps is not liable for actions taken based on AI recommendations that were approved by the property manager.
5.3 Audit Trail
All AI-assisted decisions are logged with full traceability, including the input data, reasoning, confidence level, and outcome. This audit trail is available to property managers through the Platform.
6. Communications Consent
6.1 SMS Communications
By providing a phone number and opting into SMS communications (or being added as a vendor with SMS as the preferred contact method), you consent to receive operational text messages from DwellOps related to property maintenance, scheduling, and work order updates. Message and data rates may apply. You may opt out at any time by replying STOP to any message.
6.2 Email Communications
By using the Platform, you consent to receive transactional emails related to property operations, including work order updates, scheduling confirmations, invoices, and system notifications. These are operational communications, not marketing emails.
7. Data Ownership and Responsibility
7.1 Your Data
You retain ownership of all data you enter into the Platform, including property information, tenant records, vendor details, financial data, and uploaded media. We do not claim ownership of your data.
7.2 License to Operate
By using the Platform, you grant us a limited license to use, process, store, and transmit your data solely for the purpose of providing and improving the Platform's services. This includes processing data through third-party AI services for classification and recommendation purposes.
7.3 Data Accuracy
You are responsible for the accuracy and legality of the data you enter. DwellOps is not responsible for errors, disputes, or liabilities arising from inaccurate data provided by users.
8. Financial Features
DwellOps provides tools for tracking rent charges, recording payments, and managing invoices. These tools are for record-keeping and operational purposes only. DwellOps:
- Does not process payments or handle money transfers.
- Does not provide accounting, tax, or legal advice.
- Is not a substitute for professional accounting software or services.
- Is not responsible for the accuracy of financial calculations or tax implications.
9. Vendor Relationships
DwellOps facilitates communication and coordination between property managers and vendors. However:
- DwellOps is not a party to any contract between property managers and vendors.
- DwellOps does not employ, endorse, or guarantee the quality of any vendor's work.
- Vendor scoring and recommendations are based on historical data within the Platform and are provided as decision support, not endorsements.
- Repair authorization limits and auto-approval thresholds are configured by the property manager and executed at their discretion.
10. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted access to the Platform. We may temporarily suspend access for maintenance, updates, or security reasons. We will make reasonable efforts to provide advance notice of planned downtime.
11. Limitation of Liability
To the maximum extent permitted by law:
- DwellOps is provided "as is" without warranties of any kind, express or implied.
- We are not liable for indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform.
- Our total liability for any claim related to the Platform shall not exceed the fees you paid to DwellOps in the 12 months preceding the claim.
- We are not liable for actions taken by vendors, tenants, or other third parties, even if coordinated through the Platform.
12. Indemnification
You agree to indemnify and hold DwellOps harmless from any claims, damages, or expenses arising from:
- Your use of the Platform in violation of these terms.
- Data you enter that infringes on third-party rights or violates applicable laws.
- Your property management activities conducted through the Platform.
13. Termination
Either party may terminate this agreement at any time. Upon termination:
- Your access to the Platform will be revoked.
- We will retain your data for 90 days to allow for export, after which it will be deleted in accordance with our Privacy Policy.
- Outstanding obligations (including unpaid fees, if applicable) survive termination.
We may suspend or terminate your access immediately if you violate these terms or engage in activity that threatens the security or integrity of the Platform.
14. Modifications to Terms
We may update these Terms of Service from time to time. We will notify active users of material changes via email at least 30 days before the changes take effect. Continued use of the Platform after changes take effect constitutes acceptance of the updated terms.
15. Governing Law
These terms are governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles. Any disputes arising under these terms shall be resolved in the state or federal courts located in California.
16. Severability
If any provision of these terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
17. Entire Agreement
These Terms of Service, together with our Privacy Policy, constitute the entire agreement between you and DwellOps regarding your use of the Platform.
